Summary in plain English

Enzonic Send lets you share files for free with a link, a 6-digit code or a QR code. You keep ownership of your files; we only use them to deliver your transfer. Transfers expire and are deleted automatically, so do not use Enzonic Send as a backup. Do not upload anything illegal, harmful or that you do not have the right to share. 1. About these terms

These Terms of Service ("Terms") are a legal agreement between you and Enzonic LLC, a limited liability company formed in the Commonwealth of Kentucky, USA ("Enzonic", "we", "us" or "our"). They govern your use of Enzonic Send, including the website at https://send.enzonic.com, the Enzonic Send apps for Android and iOS, and any related features, links, codes and pages (together, the "Service").

By uploading a file, downloading a file, creating an account, or otherwise using the Service, you agree to these Terms and to the policies they reference, including:

If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you confirm that you are authorized to accept these Terms for that organization, and "you" includes that organization.

2. Eligibility

You may use the Service only if:

you are at least 13 years old, or at least 16 years old if you live in the European Economic Area (EEA) or another place where a higher minimum age applies to consent for online services;
if you are under the age of legal majority where you live, a parent or legal guardian has reviewed and agreed to these Terms;
you are not barred from using the Service under the laws of the United States or any other applicable jurisdiction, including sanctions and export control laws; and
we have not previously terminated your access to the Service.

The Service is not directed to children under 13 (or under 16 in the EEA where applicable).

3. Accounts

You can use the core features of Enzonic Send without an account. You may optionally create a free account to unlock higher limits and features tied to your identity.

Sign-in provider. Accounts are provided through our authentication partner, Clerk. You can sign up with an email address and password or with your Google account.
Accurate information. You agree to give accurate information and to keep it current.
Security. You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us promptly at admin@enzonic.com if you believe your account has been compromised.
One person per account. Accounts are personal. Do not share, sell or transfer your account, and do not create accounts to get around limits, quotas or enforcement actions.
Closing your account. You may stop using the Service at any time. To delete your account, use the account settings where available or email us with the subject line "Account deletion".

4. The Service and its limits

4.1 How it works

You can upload one or more files or folders and share them with recipients. When you send several files or a folder, they are packaged into a single ZIP archive in your browser or app before upload. Each transfer receives:

a share link;
a 6-digit receive code; and
a QR code.

Anyone who has the link, code or QR code can access the transfer, subject to any password or download limit you set. Treat these like keys and share them only with people you trust.

4.2 Optional settings

When you create a transfer you can choose to add:

a password (we store only a salted hash of it, never the password itself);
a download limit;
a title and message for recipients; and
an expiry time between 1 hour and 7 days.

4.3 Size limits, quotas and expiry

Extensions. You may be able to extend a transfer's expiry by up to 3 additional days in total, for example by watching a rewarded advertisement in the app.
Automatic deletion. When a transfer expires, its files are automatically and permanently deleted. A transfer is deleted earlier if you delete it or if we remove it under these Terms, and it stops being available for download once any download limit you set is reached.
Quotas. We apply daily usage quotas to keep the Service free and fair for everyone. We may change sizes, quotas, expiry options and other limits at any time.

4.4 Not a storage or backup service

Enzonic Send is built for temporary file transfer. Files are deleted on expiry and cannot be recovered afterwards, including by us. Always keep your own copy of anything you upload. We are not responsible for any loss of data that results from expiry, deletion or interruption of the Service.

4.5 Changes and availability

We may add, change, suspend or discontinue any part of the Service at any time, with or without notice. We do not guarantee that the Service will be available at all times, in all locations, or on all devices.

5. Your content

5.1 You keep ownership

"Content" means the files, folders, file names, titles, messages and other material you upload or submit. You keep all ownership rights in your Content. We do not claim ownership of it.

5.2 The limited license you give us

So that we can run the Service, you grant Enzonic a worldwide, non-exclusive, royalty-free, limited license to host, store, copy, transmit, process and display your Content only as needed to operate, secure and provide the Service to you and to the recipients you choose. This includes storing your files until they expire or are deleted, delivering them to people who use your link, code or QR code, generating previews or metadata shown in the Service, and acting on abuse and legal reports.

This license ends when your Content is deleted from our systems, except where we must keep information for legal reasons, to enforce these Terms, or as described in the Privacy Policy. We do not use your files for advertising, and we do not sell them.

5.3 Your responsibilities

You are solely responsible for your Content and for how you share it. You confirm that:

you own your Content or have all rights, licenses and permissions needed to upload and share it;
your Content and your use of the Service comply with these Terms, the Acceptable Use Policy and all applicable laws; and
your Content does not infringe or violate anyone's intellectual property, privacy, publicity or other rights.

5.4 We do not pre-screen content

We do not review files before they are uploaded or shared, and we are not obliged to monitor Content. We do act on reports. We may, at our discretion and without notice, remove or disable access to any Content, block a transfer, or restrict an account or device that we reasonably believe violates these Terms or the law, or that poses a risk to the Service, our users or others. We cooperate with law enforcement where required or appropriate, as described in our Law Enforcement Guidelines.

6. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy, which forms part of these Terms. In short, you must not use Enzonic Send to share illegal content, child sexual abuse material, malware, phishing pages, infringing material or spam, and you must not abuse, overload, scrape or try to get around the limits of the Service.

7. Recipients and downloads

If you receive a transfer, you understand that its Content was provided by another user, not by Enzonic. Files may contain errors, harmful code or objectionable material. You should only open files from people you trust and should scan downloads with up-to-date security software. See our Disclaimer.

8. Advertising

The Service is free because it is supported by advertising.

The website shows ads served by Google AdSense, including automatically placed ads.
The apps show ads served by Google AdMob, including optional rewarded ads.
Personalized ads are shown only where you have given consent where consent is required. In the EEA, the UK and Switzerland, consent is collected through a Google-certified consent management message.

You agree that we may display ads in and around the Service and your transfer pages. We are not responsible for the content of third-party ads or the websites, products or services they link to. Learn more in our Privacy Policy, Cookie & Local Storage Policy and Your Privacy Choices.

9. Our intellectual property

The Service, including its software, design, text, graphics, logos and the names "Enzonic" and "Enzonic Send", is owned by Enzonic LLC or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a personal, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose.

You must not:

copy, modify, distribute, sell or lease any part of the Service, except as allowed by law;
reverse engineer or attempt to extract the source code of the Service, except where the law permits it despite this restriction;
use our names, logos or trademarks without our prior written permission; or
remove or alter any proprietary notices.

If you send us feedback or suggestions, we may use them freely without any obligation to you.

10. Copyright complaints

We respect the intellectual property rights of others and respond to notices of alleged infringement under the U.S. Digital Millennium Copyright Act (DMCA). See our DMCA / Copyright Policy for how to submit a notice or counter-notice. You can also use the online form at https://send.enzonic.com/report. We terminate the accounts and access of repeat infringers in appropriate circumstances.

11. Third-party services

The Service relies on and may link to third-party services, including Cloudflare (hosting, storage and network), Clerk (accounts and sign-in), Google (sign-in and advertising), and the Apple App Store and Google Play. Your use of those services may be governed by their own terms and privacy policies. We are not responsible for third-party services, websites or content.

12. Suspension and termination

By you. You may stop using the Service at any time.
By us. We may suspend or terminate your access to all or part of the Service, delete your Content or account, or block an IP address, device or network, at any time and for any reason, including if we believe you have violated these Terms or the law, if required by law, or if continuing to provide the Service to you would create risk or harm for us or others.
Effect. When access ends, your right to use the Service ends immediately. Transfers may be deleted and cannot be recovered. Sections that by their nature should survive termination will survive, including sections 5.2 (to the extent needed), 5.3, 9, and 13 to 18.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, ENZONIC DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE ABOVE, WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE; THAT FILES WILL BE DELIVERED, STORED OR AVAILABLE FOR ANY PERIOD; THAT FILES SHARED THROUGH THE SERVICE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR THAT ANY DEFECTS WILL BE CORRECTED. THE SERVICE IS NOT END-TO-END ENCRYPTED. YOU USE THE SERVICE AND DOWNLOAD FILES AT YOUR OWN RISK.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you. See also our Disclaimer.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

ENZONIC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND
ENZONIC'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US TO USE THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) FIFTY U.S. DOLLARS (US $50).

These limits apply to all theories of liability, including contract, tort (including negligence), strict liability and statute, and apply even if a remedy fails of its essential purpose. Nothing in these Terms limits liability that cannot be limited under applicable law, such as liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence. If you are a consumer in a country whose laws give you rights that cannot be waived by contract, those rights are not affected.

15. Indemnity

To the extent permitted by law, you agree to defend, indemnify and hold harmless Enzonic LLC and its members, managers, employees, contractors and agents from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys' fees) arising out of or related to:

your Content;
your use or misuse of the Service;
your violation of these Terms or any policy referenced in them; or
your violation of any law or the rights of any third party.

We may assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense.

16. Governing law and venue

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the Commonwealth of Kentucky, USA, without regard to its conflict-of-laws rules, and by applicable U.S. federal law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You and Enzonic agree that any legal action or proceeding arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in the Commonwealth of Kentucky, and you consent to the personal jurisdiction of and venue in those courts. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to stop abuse of the Service.

Informal resolution first. Before filing a claim, you agree to contact us at admin@enzonic.com with the subject line "Legal" and a description of the dispute, and to try in good faith to resolve it informally for at least 30 days.

Consumers outside the United States. If you are a consumer who lives in the EEA, the UK or another country whose mandatory laws give you the right to bring proceedings in your local courts or to benefit from local consumer protection law, nothing in this section takes those rights away.

17. Changes to these Terms

We may update these Terms from time to time. When we do, we will change the "Last updated" date at the top of this page. If a change is material, we will give reasonable notice, for example by a notice on the website or in the app, or by email if you have an account. Changes take effect when posted unless stated otherwise. If you continue to use the Service after changes take effect, you accept the updated Terms. If you do not agree, stop using the Service.

18. General

Entire agreement. These Terms and the policies they reference are the entire agreement between you and Enzonic about the Service.
Severability. If any part of these Terms is found unenforceable, the rest remains in effect, and the unenforceable part will be modified to the minimum extent needed to make it enforceable.
No waiver. Our failure to enforce any right is not a waiver of that right.
Assignment. You may not assign or transfer these Terms without our consent. We may assign them, including in connection with a merger, acquisition or sale of assets.
No third-party beneficiaries. Except as stated in section 19, these Terms do not create rights for any third party.
Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
Notices. We may send notices to you through the Service or to the email address on your account. You may send legal notices to admin@enzonic.com with the subject line "Legal".
Language. If we provide a translation of these Terms, the English version controls to the extent permitted by law.

19. App store terms

If you download an Enzonic Send app from the Apple App Store or Google Play, the following terms also apply.

19.1 Apple App Store

If you use the iOS app, you and Enzonic acknowledge that:

these Terms are between you and Enzonic only, not Apple Inc. ("Apple"), and Enzonic, not Apple, is solely responsible for the app and its content;
your license to use the app is limited to a non-transferable license to use it on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the app may be accessed by other accounts associated with you through Family Sharing or volume purchasing;
Apple has no obligation to provide any maintenance or support services for the app;
if the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the app; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to a warranty are Enzonic's responsibility to the extent not disclaimed by these Terms;
Enzonic, not Apple, is responsible for addressing any claims by you or a third party relating to the app or your possession and use of it, including product liability claims, claims that the app fails to conform to any legal or regulatory requirement, and claims under consumer protection, privacy or similar laws;
in the event of any third-party claim that the app or your possession and use of it infringes that third party's intellectual property rights, Enzonic, not Apple, is solely responsible for the investigation, defense, settlement and discharge of that claim;
you represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties;
you must comply with applicable third-party terms of agreement when using the app; and
Apple and its subsidiaries are third-party beneficiaries of these Terms, and once you accept these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

19.2 Google Play

If you download the Android app from Google Play, you acknowledge that these Terms are between you and Enzonic, not Google LLC ("Google"). Your use of the app is also subject to the Google Play Terms of Service. Google is not responsible for the app or its content and has no obligation to provide support for it. If these Terms conflict with the Google Play Terms of Service with respect to your use of the app obtained from Google Play, the Google Play Terms of Service control to the extent of the conflict.
